Terms of Service for Kai

Welcome to Kai, an AI-powered conversational data agent developed and maintained by K12 Analytics Engineering(“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Kai web application, agent architecture, and related services (collectively, the “Service”).

By accessing or using the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you are using the Service on behalf of a school district or organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

Kai is an AI-powered analytics tool designed to interact with your organization’s governed data, semantic layer, and ontology. It allows users to query educational data and receive insights via a conversational interface.

2. Acceptable Use and Prohibited Conduct

We strive to ensure the Service remains fast, reliable, and available for all educators and data teams. To protect our infrastructure and ensure fair use, you agree NOT to engage in any of the following prohibited activities:

A. Automation and Abuse

  • No Automated Tools: You may not use browser automation tools, bots, scripts, spiders, scrapers, or any other automated means to access the Service, send messages, or extract data. The Service is designed for human-to-AI conversational interaction.
  • No Excessive Messaging: You may not send an unreasonably high volume of requests or messages that overburden our servers or APIs. We reserve the right to enforce rate limits and throttle or suspend accounts that exhibit unnatural or excessive usage patterns.
  • No Denial of Service: You may not interfere with, disrupt, or attempt to gain unauthorized access to the servers or networks connected to the Service.

B. Security and Integrity

  • No Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Service or its underlying AI architecture.
  • No Prompt Injection/Jailbreaking:You may not attempt to bypass Kai’s safety filters, manipulate the AI’s core instructions, or force the AI to execute malicious commands.
  • No Unauthorized Access: You may not share your account credentials or attempt to access data belonging to organizations or users other than your own.

3. Educational Data, Privacy, and Security

  • Your Data, Your Environment:As outlined in our collaboration agreements, your district’s data operates in an isolated environment. You retain all ownership rights to your organizational data, metrics, and ontology.
  • Compliance with Laws: You agree to use the Service in compliance with all applicable local, state, and federal laws, including the Family Educational Rights and Privacy Act (FERPA) and state-level student data privacy laws.
  • Data Processing:Our handling of student and organizational data is further governed by your district’s specific Data Privacy Agreement (DPA) or Master Services Agreement (MSA) with K12 Analytics Engineering.

4. AI Outputs and Limitations

While Kai relies on your organization’s Semantic Layer to generate deterministic SQL and governed metrics, it is an AI tool.

  • Thought Partner, Not a Decision Maker:Kai provides insights and suggests interventions based on your organization’s “playbook.” However, educators and administrators are solely responsible for verifying the context of the data and making final decisions regarding student interventions or policy.
  • No Warranties on Output: We do not guarantee that the conversational text generated by the AI will be entirely free of errors or perfectly contextualized in every edge case.

5. Intellectual Property

  • Our IP:K12 Analytics Engineering retains all intellectual property rights to the Kai application, the underlying agent architecture, our proprietary data engineering frameworks, and the Service’s interface.
  • Feedback: If you provide suggestions or feedback regarding Kai, we may use that feedback to improve the Service without any obligation to you.

6. Suspension and Termination

We reserve the right to immediately suspend or terminate your access to the Service, without prior notice, if we determine that you have violated these Terms. This specifically includes, but is not limited to, the detection of browser automation tools, excessive API calls, or attempts to compromise the system’s integrity.

7. Disclaimers and Limitation of Liability

Disclaimer of Warranties:THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, K12 ANALYTICS ENGINEERING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; OR (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS.

8. Modifications to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Service or via email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
